What is confidential
“Confidential Information” means all non-public information made available in or through the RV–002 dossier or related conversations, including the venture concept, identity, strategy, designs, products, operating model, commercial assumptions, research, partners and materials.
Permitted purpose
The Recipient will use Confidential Information only to evaluate a possible professional relationship with Rogue Ventures concerning RV–002.
Protection and non-disclosure
The Recipient will keep the Confidential Information confidential, use reasonable care to protect it, and will not disclose, publish, reproduce, download, screenshot, scrape or otherwise distribute it without Rogue Ventures’ prior written consent. Access is personal and may not be shared.
Exceptions
These obligations do not apply to information the Recipient can demonstrate was already lawfully known, becomes public without breach, is received lawfully from another source without restriction, or is independently developed without use of Confidential Information.
Required disclosure
If disclosure is legally required, the Recipient will—where lawful—give Rogue Ventures prompt written notice and disclose only what is required.
Ownership and no commitment
All Confidential Information remains the property of its owner. No licence, ownership right, partnership, offer or obligation to proceed is created by access to the dossier.
Deletion
On written request, the Recipient will delete or destroy the Confidential Information in their possession, except where retention is required by law.
Duration
These obligations continue for three years from acceptance. Obligations concerning trade secrets continue while the information remains protected as a trade secret.
Electronic acceptance
Typing a full legal name and selecting “Execute NDA & unlock dossier” constitutes the Recipient’s electronic signature and acceptance of this undertaking.
Governing law
This undertaking is governed by the laws of Sweden and disputes are subject to the courts of Sweden.
